In particular, the law firm conducted the legal due diligence of the German subsidiary at the interface with Italian law and advised on antitrust issues.<\/p>\n<p>In cooperation with the Italian law firm Pavesio e Associati, which acted as lead counsel on the transaction, SLB LAW&#8217;s Italian Desk also assisted in the coordination of the legal due diligence carried out by Sagiure Legal relating to the indirect acquisition of the Dutch subsidiary.<\/p>\n<p>\u201cThis complex transaction required precise legal support at the interface of several jurisdictions,\u201d explains Sandra Bendler-Pepy, partner and head of the Italian Desk at SLB LAW. \u201cThe antitrust implications and the coordination of the due diligence processes in three legal systems presented particularly demanding challenges.\u201d<\/p>\n<p>As part of the transaction, BasicNet acquired the rights to the US brand Woolrich for Europe and purchased 100% of the shares in Woolrich Europe S.p.A.<\/p>\n<p><strong>Background<\/strong><\/p>\n<p>The BasicNet Group is internationally renowned for iconic brands such as K-Way, Superga, and Sebago.
